CMIGL Escrow Services - Terms of Use

Welcome to CMIGL Escrow Services. These Terms of Use along with all other legal documents incorporated by reference (collectively the “Terms”) set out the legal contract between CMIGL Escrow Services (“CMIGL Escrow”, “we”, “our” or “us”) and each end user (the “User”, “you” or “your”) with respect to access to and use of our website, services, and applications (collectively, the “Services”) offered by us, our subsidiaries and affiliated companies.

PLEASE READ CAREFULLY THESE TERMS BEFORE USING THE SERVICE BECAUSE THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, DO NOT USE THE SERVICE, AND/OR IF AT ANY TIME THE TERMS ARE NO LONGER ACCEPTABLE TO YOU, PLEASE CEASE USE OF THE SERVICE IMMEDIATELY.

1. Your Acceptance and Contractual Relationship

Each time you access and/or use the Service, you agree to be bound by these Terms and any additional terms that will apply to you prospectively.

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By using CMIGL Escrow, you represent and warrant that you meet these eligibility requirements.

2. Service Description

a. CMIGL Escrow provides online escrow services to facilitate secure transactions between parties by acting as a neutral third party to hold funds/assets until the pre-agreed terms/conditions precedent of a transaction between the parties are met/satisfied.

b. We are not a bank, lender, broker, legal or financial advisor.

3. User Responsibilities

Users agree to:

a. Provide only accurate and complete information.

b. Only use the Services for lawful purposes.

c. Maintain the confidentiality of their account credentials.

d. Promptly update their information if it changes.

Users shall not:

a. Violate any laws or third-party rights.

b. Use the Service for money laundering, fraud, or other illegal activities.

c. Interfere with the Service’s security or functionality.

4. Fees

Use of the Service is subject to fees subject to review from time to time in line with prevailing market forces with notice provided via the website;

a. A N500.00 (Five Hundred Naira) one-time sign-up fee

b. 4.5% of total transaction amount

or as outlined during the transaction setup. Fees are non-refundable unless expressly stated otherwise.

5. Dispute Resolution

a. In the event of any dispute between transacting parties, CMIGL will make commercially reasonable efforts to facilitate resolution according to the terms set at the beginning of the transaction. Our decision is final and binding.

b. Any dispute between the CMIGL and the User (the “Parties”) arising out of or related to these Terms and any amendments to it, shall be resolved by consultation by the Parties through their representatives or, in default of a resolution, to Arbitration. The decision of the Parties’ representatives/arbitrators is final and binding on the Parties.

6. Our Content and Intellectual Property

All content, trademarks, and logos on our website are owned by or licensed to CMIGL Escrow. The User shall not use, copy, distribute, modify, reproduce, republish, upload, sell, resell, display, post, transmit, distribute, scrape, reverse engineer, create derivative works or license any content or intellectual property, copyrights and trademarks on the Service without our prior express written authorization.

7. Disclaimer of Warranties

a. The Service is provided on an “AS IS” and “AS AVAILABLE” basis.

b. CMIGL Escrow disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

c. We do not guarantee that:

i. The Service will meet your requirements.

ii. The Service will be uninterrupted or error-free.

iii. Any defects will be corrected.

a. CMIGL Escrow acts as a neutral third-party holding funds or assets until predetermined conditions are met.

b. CMIGL Escrow is not responsible for verifying the quality, accuracy, or authenticity of transactions.

c. Users are solely responsible for ensuring compliance User Content with applicable laws and regulations.

d. CMIGL Escrow is not liable for any losses or damages resulting from unauthorized transactions, technical issues, or other unforeseen circumstances.

e. By using CMIGL Escrow, you release and hold harmless CMIGL Escrow and its affiliates, officers, and agents from any claims or liabilities.

8. Our community and our Acceptable Use Policy

This section sets out the Acceptable Use Policy ('AUP'), establishing acceptable practices relating to the use of the Service, including limitations on User Content, system abuse and security.

The Service must be used in a manner that is consistent with the intended purpose of the Service and the terms of the applicable agreement with CMIGL Escrow, including our Terms. By using the Service, the User consents to be bound by the terms of this AUP. If the User does not agree with anything in this section, the User must stop using the Service. For the purposes of this section, CMIGL Escrow includes all of CMIGL Escrow’s affiliates, including direct and indirect subsidiaries.

User Responsibilities

i. Summary of generally prohibited conduct. The User will not use the Service to transmit, distribute or store material in a manner that: (i) violates any applicable law or regulation; (ii) may adversely affect the Service or other users; (iii) may expose CMIGL Escrow to criminal or civil liability or (iv) violate, infringe upon or otherwise misappropriate any third-party rights, including intellectual property rights, rights of publicity and privacy rights. The User is prohibited from facilitating the violation of any part of this section or applicable third-party policies, including, but not limited to, transmitting, distributing or otherwise making available any product or service that violates this section or another CMIGL Escrow’s policy.

ii. Responsible use of the Service. The User shall act responsibly when using the Service. The User shall only use the Service and its contents for lawful purposes and in accordance with applicable law and is prohibited from storing, distributing, or transmitting any unlawful material through the Service. The User shall not collect or store personal information from other users. The User recognizes that storing, distributing, or transmitting unlawful material could expose the User to criminal and/or civil liability. The User agrees that if a third party claims that material the User has contributed to the Service is unlawful, the User shall bear the burden of establishing that it is lawful. The User understands and agrees that all materials publicly posted or privately transmitted on or through the Service are the sole responsibility of the sender, not CMIGL Escrow, and that the User is responsible for all material the User uploads, publicly post or otherwise transmit to or through the Service.

iii. Content limitations. We require that the User does not post or otherwise make available on the Service any content, or act in a way, that in our opinion;

· Libels, defames, invades privacy, stalks, is obscene, pornographic, racist, abusive, harassing, threatening or offensive

· Disparages, criticizes, belittles, parodies or otherwise portrays in a negative light any actor appearing in the content

· Seeks to exploit or harm children by exposing them to inappropriate content, asking for personally identifiable details or otherwise

· Infringes any intellectual property or other right of any entity or person, including violating anyone's copyrights or trademarks or their rights of publicity

· Violates any law or may be considered to violate any law

· Constitutes a breach of contract (you do not have the right to disclose any inside information, proprietary or confidential information received in the context of a non-disclosure agreement)

· Advocates or promotes illegal activity

· Impersonates or misrepresents the User’s connection to any other entity or person, or otherwise manipulates headers or identifiers to disguise the origin of the content

· Solicits funds, advertisers or sponsors

· Includes programs which contain viruses, worms and/or ‘Trojans’ or any other computer code, files or programs designed to interrupt, overload, collapse, destroy or limit the functionality of any computer software or hardware or telecommunications

· Disrupts the normal flow of dialogue, causes a screen to scroll faster than other users are able to type or otherwise act in a way that affects the ability of other people to engage in real time activities via the Service

· Copies any other pages or images on the Service except with appropriate authority

· Includes illegally sourced MP3 format files

· Amounts to a pyramid or similar scheme

· Amounts to ‘data warehousing’ (i.e. using any web space made available to the User as storage for large files or large amounts of data which are only linked from other sites)

· Disobeys any policy or regulations established from time to time regarding use of the Service or any networks connected to the Service

· Contains links to other sites that contain the kind of content that falls within the descriptions described above

iv. In addition, the User is prohibited from removing any sponsorship banners or other material inserted by CMIGL Escrow anywhere on the Service (e.g. on any web space made available for the User’s use).

v. System Abuse. Without limitation, the User agrees not to;

a. Send, create or reply to so called ‘mailbombs’ (i.e. emailing copies of a single message to many users, or sending large or multiple files or messages to a single user with malicious intent) or engage in ‘spamming’ (i.e. unsolicited emailing for business or other purposes) or undertake any other activity which may adversely affect the operation or enjoyment of this Service by any other person

b. Copy, display, distribute, duplicate, aggregate, redistribute, alter or modify any of the content available within the Service, or User Content in any medium, to any other individual or entity, other than as may be reasonably necessary to use the Service for their intended purpose

c. Use any automated software or devices, such as spiders, robots or data mining techniques such as scraping, spidering, crawling or any other techniques to download, store, distribute or otherwise reproduce content within the Service and/or the Service itself

d. The use of automated tools, bots, scripts, or similar technology to generate, pre-fill, or complete applications other than through our available functionalities is explicitly prohibited.

e. Use or copy the Service including any data the User views on and/or obtains from the Service in order to provide any product or service that is competitive to the Service determined at CMIGL Escrow’s sole discretion

f. Interfere with, interrupt, destroy or limit the functionality of the Service, or any computer software or hardware or telecommunications equipment

g. Use the Service in any manner that could damage, disable, overburden or impair any of CMIGL Escrow’s servers, or networks connected to any of CMIGL Escrow’s servers, or interfere with any other party’s use and enjoyment of the Service

h. Gain unauthorized access to the Service, other accounts, computer systems or networks connected to any of CMIGL Escrow’s servers or to the Service, through hacking, cracking and distribution of counterfeit software, password mining or any other means

i. Reverse engineer, decompile or disassemble any software accessed through the Service, including any proprietary communications protocol used by CMIGL Escrow

j. Use information obtained from the Service to transmit any commercial, advertising or promotional materials without CMIGL Escrow’s written permission and, except as expressly authorized by CMIGL Escrow, advertise or offer to buy or sell any goods or services for any purpose

k. Provide any contact information that is not current and accurate, impersonate or create a false identity or falsify any information

l. Use, download or otherwise copy, or provide (whether or not for a fee) to a person or entity any directory of users of the Service, or other user or usage information or any portion thereof

m. Exploit, distribute or publicly communicate any error, miscue or bug which gives an unintended advantage or

n. Reproduce, sell, resell or otherwise exploit any resource, or access to any resource, contained on this Service

vi. Violation of security systems. The user is prohibited from using any services or facilities provided in connection with the Service to compromise its security or tamper with system resources and/or accounts. The use or distribution of tools designed for compromising security (e.g. password guessing programs, cracking tools or network probing tools) is strictly prohibited. If the User becomes involved in any violation of system security, CMIGL Escrow reserves the right to release the User’s details to system administrators at other sites or to law enforcement personnel in order to assist them in resolving security incidents.

9. Limitation of Liability

CMIGL Escrow shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Indemnity

You agree to indemnify, defend, and hold harmless CMIGL Escrow and its officers, directors, employees, and agents from any claims, liabilities, damages, judgments, and expenses arising out of your use of the Services or your violation of these Terms.

11. User Content

a. The User retains ownership of their User Content at all times. Provided that by posting, uploading and/or making available any User Content within the Service, and/or by providing any communication or material to CMIGL Escrow, the User automatically:

i. Grants CMIGL Escrow a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable through multiple tiers, and transferable, license to use, copy, reproduce, process, adapt, modify, publish, transmit, distribute, prepare derivative works of, display, and perform the User Content (the “Content”) in connection with the Service and CMIGL Escrow’s (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels (known now or developed later). We may modify or adapt the Content in order to transmit, display or distribute it over computer networks and in various media, and/or make changes to the Content as are necessary to conform and adapt that Content to any requirements or limitations within the Service, or of any networks, devices, services or media; including, but not limited, to structured data markups for content ratings.

ii. the above licenses granted by the User in the Content submitted to the Service will survive even if the User removes or deletes such Content from the Service and,

iii. the above licenses granted by the User in forum comments, testimonials or submissions the User submits are perpetual and irrevocable. Except with respect to the User’s Content, the User agrees that he/she has no right or title in or to any other content or materials that appears on or in the Service, including, but not limited to, any information associated with another Account or user profile or stored on or in the Service.

§ The User waives all moral rights in the User Content that may be available to the User in any part of the world and confirm that no such rights have been asserted.

§ Appoint CMIGL Escrow as your agent with full power to enter into any document and/or do any act that CMIGL Escrow may consider appropriate to confirm the grant and assignment, consent and waiver set out above.

§ Warrant that the User is the owner of the User Content and entitled to enter into these Terms and that the User Content does not infringe the proprietary or privacy rights of any third party.

§ Confirm that no such User Content will be subject to any obligation, of confidence or otherwise, to the User or any other person and that CMIGL Escrow shall not be liable for any use or disclosure of such User Content.

§ Agree and understand that the User’s Content is subject at all times to CMIGL Escrow’s Acceptable Use Policy.

12. Deletion or deactivation of User Content and/or User Account

The User’s Content can only be completely deleted from public view by deleting their account. When the User requests that their public User Content be deleted, the User’s information will no longer be visible to other users within the Service, but if the User’s Content, including their information, was previously accessed, stored and/or copied by others, we are unable to delete the information from their systems. When a User deactivates their Account or ask us to delete their User Content, we will retain logs and non-personally identifiable information about the User, along with an archival copy of their information, which is not accessible to the User or third parties within the Service, but which might be used for record-keeping and internal legitimate business purposes. If the User terminates their subscription, the User will still be able to use their login credentials as a Registered User to access and view the documents uploaded on their Account. This information will be available to the User if the User has an Account open. If the User wishes to close their Account and delete their data from our systems, the User can do so by contacting our Customer Service team. The User also agrees and understands that some of the content that we may create for the User cannot be deleted once uploaded, to the extent permitted by the applicable law.

The User further understands that CMIGL Escrow may keep and use data in various ways as outlined in these Terms and in the Privacy Policy. If the User asks us to delete their User Content, it will no longer be publicly available and, to the extent permissible by law, we will take all reasonable steps to delete it. CMIGL Escrow has no obligation to maintain any Account the User opens and may delete it if the User violates these Terms, as determined at CMIGL Escrow’s sole and absolute discretion (please see also our Acceptable Use Policy below).

Disclaimer. CMIGL Escrow does not endorse any User Content submitted to the Service by any user or other licensor, or any opinion, recommendation or advice expressed therein, and CMIGL Escrow expressly disclaims any and all liability in connection with User Content. CMIGL Escrow does not permit copyright infringing activities and infringements of intellectual property rights on the Service, and CMIGL Escrow will remove User Content if properly notified that such User Content infringes on another person’s intellectual property rights (refer to our Acceptable Use Policy in Section 8 above). CMIGL Escrow reserves the right to remove User Content without prior notice.

13. Termination

a. We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct we believe violates these Terms (either overtly or even just the intentions of so violating) or is harmful to CMIGL Escrow or other users.

b. The User may cancel or, in some cases, suspend their subscription at any time. CMIGL Escrow does not guarantee refunds in the event of cancellation or suspension after payment is made.

14. Privacy

Our collection and use of your information is governed by our [Privacy Policy] ([Insert Link]).

15. Changes to Terms

We may update these Terms from time to time. Changes are effective when posted. Your continued use of the Service constitutes acceptance of the revised Terms.

16. Arbitration and Waiver of Right to Bring Class Action and Representative Claims.

The User hereby agrees that any dispute resolution proceeding, whether by Parties’ Representatives or arbitration, it will be brought and conducted only in the respective party’s individual capacity and not as part of any class (or purported class), consolidated, multiple-plaintiff, or representative action or proceeding (“class action”). The User agrees to waive the right to participate as a plaintiff or class member in any class action. The User expressly waives any ability to maintain a class action in any forum (whether arbitration, or otherwise). If the dispute is subject to arbitration, the arbitrator will not have the authority to combine or aggregate claims, conduct a class action, or make an award to any person or entity not a party to the arbitration. The User further agrees that the arbitrator may not consolidate proceedings for more than one person’s claims, and the arbitrator may not otherwise preside over any form of a class action.

17. Payments, Subscriptions and Cancellations

The User agrees to honour all payment obligations for services purchases on the Site. For recurring charges applicable to your subscription, or for single unscheduled transaction purchases, the User agrees that third parties working on our behalf may store the User’s payment information to process such payments. CMIGL Escrow may alter the price of its services at any time and at its discretion. The User will be notified if a price will be changed and provided time to make any changes to their account. The User understands that additional fees and taxes may apply to purchases.

18. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of la w principles.
